Terms of Service
The terms that apply when you use the Zipple website, app and services.
1. Agreement
These terms govern your use of the Zipple website, web app and services. By sending a request, creating an account or paying for a service, you agree to them. If you use Zipple for a company, you confirm you're authorized to act for it.
2. Our services
- Company formation: forming a US LLC or C-Corp, obtaining an EIN, and providing a registered agent and business address for the first year.
- US office and address: helping you find and arrange a physical office or coworking space. The office provider's own contract governs the space.
- Bookkeeping: monthly categorization and reconciliation of your transactions and preparation of financial statements.
- Tax filing: preparation of your company's federal business return and state annual report. Returns are reviewed and signed by our partner US CPA.
- Financial consulting: advisory calls billed by the hour.
- The Zipple app: software for importing transactions, producing financial statements and tracking deadlines.
The exact scope, price and timing of a paid service are confirmed in writing before we start.
3. What we need from you
- Complete, accurate and timely information, including all bank accounts and transactions, ownership details and prior filings.
- Prompt answers to questions from our team and partner CPA, and review of documents before they are filed.
- Payment of fees when due.
Filings depend on the information you provide. We aren't responsible for penalties, interest or delays caused by missing, late or inaccurate information.
4. Not legal advice; financial statements
Zipple is not a law firm and doesn't give legal advice. Tax advice is given only within a paid engagement and is reviewed by our partner CPA. General content on our website and answers produced by AI in the app are information, not professional advice. Financial statements we produce are unaudited and based on the data in your account.
5. Fees and payment
Prices are shown in US dollars on our website or in your quote. Formation prices include the state filing fee and the first year of registered agent service and business address. Renewals after the first year, government penalties, expedited state processing and third-party costs are extra unless your quote says otherwise. Bookkeeping is billed monthly in advance. Refunds follow our Refund Policy.
6. Your account
Keep access to your sign-in email secure. You're responsible for activity in your account. We may suspend accounts used unlawfully, to commit fraud, or in breach of these terms.
7. Your data
You own the data you put into Zipple. You give us permission to use it to provide the services. Our Privacy Policy explains how we handle personal information. You can export your transactions and financial statements from the app at any time.
8. Limitation of liability
To the extent the law allows, Zipple's total liability for any claim related to a service is limited to the fees you paid for that service in the 12 months before the claim. We aren't liable for indirect or consequential losses, such as lost profits. Nothing in these terms limits liability that can't be limited by law.
9. Ending the relationship
You can stop using Zipple and cancel ongoing services at any time. We may end services with 30 days' notice, or immediately if you breach these terms. Work already completed remains payable.
10. Governing law
These terms are governed by the laws of the State of South Dakota, USA. Disputes will be handled by the state or federal courts located in South Dakota, unless the law of your country gives you the right to bring a claim locally.
11. Changes
We may update these terms. The date at the top shows the latest version. Continuing to use Zipple after a change means you accept the updated terms.
